Terms of Service

Last Updated: October 2025

These Terms of Service ("Terms," "Agreement") govern your access to and use of the SyncVia website, dashboard, and software-as-a-service platform (collectively, the "Service"), operated by Aventis West LLC, a California limited liability company doing business as SyncVia ("SyncVia," "we," "us," or "our").

By creating an account, connecting your Etsy or QuickBooks account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Overview

SyncVia provides secure data synchronization between Etsy seller accounts and QuickBooks Online ("QBO"). The Service uses official public APIs and OAuth authorization flows provided by Etsy Inc. and Intuit Inc. to transfer order and transaction data for accounting and bookkeeping purposes.

SyncVia is an independent third-party application. We are not affiliated with, endorsed by, or acting on behalf of Etsy Inc. or Intuit Inc.

We are not affiliated with Etsy, Inc. or Intuit Inc. 'Etsy' is a trademark of Etsy, Inc. Use of Etsy's name is solely to describe our integration. This Service is not endorsed or certified by Etsy, Inc.

2. Eligibility and Account

You must be at least 18 years old and capable of entering into legally binding agreements. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

3. Description of Service

The Service allows you to:

  • Connect your Etsy shop(s) and QuickBooks Online account(s);
  • Authorize SyncVia to access, transfer, and display limited data (e.g., order totals, fees, tax amounts, and summary logs);
  • View synchronized totals and status information in a private dashboard.

SyncVia only accesses and processes the data necessary to perform synchronization. We do not sell, share, or repurpose your data for marketing, advertising, or unrelated analytics.

4. Data Access, Storage, and Retention

OAuth Authorization: You connect to Etsy and QuickBooks using their official OAuth flows. SyncVia never collects or stores your Etsy or Intuit passwords.

Data Storage: SyncVia may temporarily store limited metadata such as synchronization timestamps, totals, error logs, and aggregated amounts to provide dashboards and system reliability.

No Buyer PII: SyncVia does not display or retain individual Etsy buyer names, addresses, or private communications.

Deletion: Upon disconnecting an integration or deleting your account, all stored data related to that account is deleted within 30 days.

Revocation: If you revoke SyncVia's access from your Etsy 'App Connections' page, we immediately lose API access. We will queue deletion of associated stored data within 30 days, subject to legal retention requirements.

Data Transfers: Data is processed and stored in the United States. For users outside the U.S., we rely on standard contractual clauses (SCCs) for lawful data transfers under GDPR.

5. API and Platform Compliance

We request only the minimum Etsy API scopes necessary to perform the synchronization you authorize. We do not use Etsy API data for advertising, user profiling unrelated to the Service, or any resale/transfer to third parties. We comply with Etsy's API Terms of Use, API Testing Policy, and applicable rate limits.

SyncVia's integrations comply with:

  • Etsy Developer Policy (2025) and API Terms of Use;
  • Intuit Developer API License Agreement; and
  • Applicable data-protection and consumer laws.

You agree to abide by Etsy's and Intuit's respective terms when using the Service. SyncVia may modify or suspend functionality if required by these platforms or if an API changes.

6. Payment and Subscriptions

Access to SyncVia is provided on a paid subscription basis.

  • Fees and billing cycles are disclosed at checkout.
  • You authorize us (or our payment processor) to charge your selected payment method on a recurring basis.
  • You may cancel at any time, but fees already paid are non-refundable unless otherwise required by law.
  • We may suspend or terminate access for non-payment.

7. Acceptable Use

You agree not to:

  • Reverse-engineer, copy, or redistribute any portion of the Service;
  • Misuse API credentials or attempt to access data without authorization;
  • Use the Service to violate Etsy's or Intuit's policies or applicable law;
  • Interfere with the operation or security of the Service.

8. Intellectual Property

All content, software, trademarks, and documentation related to SyncVia are owned by Aventis West LLC or its licensors. You receive only a limited, non-exclusive, revocable license to use the Service for your own business purposes.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available."

SyncVia disclaims all warranties—express, implied, or statutory—including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee uninterrupted or error-free operation, nor the continued availability of Etsy or Intuit APIs.

10. Limitation of Liability

To the maximum extent permitted by law, SyncVia and its members, employees, and contractors shall not be liable for any indirect, consequential, incidental, punitive, or special damages arising from your use of the Service.

Our total liability for any claim will not exceed the greater of (a) the fees paid to SyncVia in the preceding three months, or (b) USD $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless SyncVia, Aventis West LLC, and their officers and employees from any claims, damages, liabilities, or expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

12. Termination

You may terminate your account at any time. We may suspend or terminate access with or without notice if you breach these Terms, violate applicable law, or if continued operation becomes impracticable due to platform or API restrictions.

Upon termination, all rights granted to you under these Terms immediately cease, but sections 8–14 survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.

Any dispute shall first be resolved by good-faith negotiation; if unresolved, the exclusive venue shall be the state or federal courts located in Contra Costa County, California.

14. Changes to Terms

We may modify these Terms at any time. Updated versions will be posted at https://syncvia.co/terms with a new "Last Updated" date. Continued use of the Service after such changes constitutes acceptance.
